Terms of Service

The terms governing use of the InsperteInsights website and related service interactions.

1. Our Services

Insperte LLC (“Insperte,” “we,” “us,” or “our”) provides expert recruitment, market research recruitment, expert interview coordination, and related research support services.

Our services may include:

  • Identifying and recruiting industry professionals and subject-matter experts;
  • Screening and qualifying potential participants;
  • Matching experts with research opportunities;
  • Coordinating interviews, consultations, and research engagements;
  • Facilitating communications between clients and experts;
  • Coordinating participant incentives and payments where applicable; and
  • Providing related research and recruitment support.

Insperte does not guarantee that a particular expert, participant, client, project, or engagement will be available or suitable for any particular purpose.

2. Users and Eligibility

You must provide accurate and complete information when using our services.

If you register as an expert, you represent that:

  • The information you provide is accurate and not misleading;
  • You have the professional experience or expertise represented in your profile;
  • You are legally permitted to participate in the relevant engagement;
  • Your participation does not violate any employment agreement, confidentiality obligation, professional obligation, law, regulation, or other restriction applicable to you; and
  • You will not disclose confidential, proprietary, material non-public, or otherwise restricted information during any engagement.

If you use Insperte on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Expert Participation

Experts may be invited to participate in research interviews, consultations, surveys, advisory discussions, or other engagements based on their professional background and the requirements of a particular project.

Registration with Insperte does not guarantee that an expert will receive an opportunity or be selected for a project.

Insperte may review, verify, screen, suspend, or remove an expert profile where information appears inaccurate, incomplete, misleading, or inconsistent with applicable requirements.

Experts may decline any opportunity at their discretion, subject to any obligations associated with an engagement they have already accepted.

4. Professional and Legal Obligations

Experts are solely responsible for determining whether they are permitted to participate in an engagement.

Experts must not participate in an engagement where doing so would violate:

  • An employment agreement;
  • A confidentiality or non-disclosure agreement;
  • Fiduciary or professional duties;
  • Securities laws or regulations;
  • Regulatory requirements;
  • Client or employer policies; or
  • Any other applicable legal or contractual obligation.

Experts must not provide material non-public information (“MNPI”), trade secrets, confidential business information, privileged information, personal information belonging to another person, or any other information they are not authorized to disclose.

Insperte does not request or require experts to disclose confidential or restricted information.

5. Confidentiality

Information exchanged through an engagement may be confidential or proprietary.

Users agree to respect applicable confidentiality obligations and to use confidential information only for the purpose for which it was provided.

Experts must not disclose confidential information obtained from their employer, clients, former employers, customers, business partners, or other third parties.

Clients must similarly respect confidentiality obligations applicable to information received through Insperte.

Separate confidentiality or non-disclosure agreements may apply to particular projects or engagements.

6. Accuracy of Information

You are responsible for ensuring that information you provide to Insperte is accurate, current, and complete.

You must not:

  • Impersonate another person;
  • Misrepresent your identity, employment, experience, or qualifications;
  • Create misleading profiles;
  • Submit information belonging to another person without authorization; or
  • Use the website for fraudulent or unlawful purposes.

We may suspend or terminate access where we reasonably believe information is false, misleading, fraudulent, or otherwise inappropriate.

7. Payments and Incentives

Where an expert is eligible for compensation, the applicable payment amount and conditions may be communicated before or during the relevant engagement.

Payment may be subject to:

  • Completion of the agreed engagement;
  • Compliance with applicable project requirements;
  • Verification of participation;
  • Accurate payment information; and
  • Applicable legal, tax, or compliance requirements.

Unless otherwise agreed in writing, Insperte does not guarantee payment for an engagement that is cancelled, incomplete, or not performed in accordance with the applicable project requirements.

Experts are responsible for any taxes or other obligations associated with compensation they receive, except where applicable law requires otherwise.

8. Client Responsibilities

Clients using Insperte services are responsible for:

  • Providing accurate project requirements;
  • Using expert information only for legitimate and authorized purposes;
  • Respecting confidentiality and privacy obligations;
  • Complying with applicable laws and regulations;
  • Not requesting confidential, privileged, or material non-public information; and
  • Using expert information in accordance with any applicable project-specific agreements.

Clients must not use information obtained through Insperte to discriminate unlawfully, harass individuals, or engage in fraudulent or prohibited activities.

9. Intellectual Property

Unless otherwise stated, the Insperte website, including its text, branding, logos, graphics, design, software, content, and other materials, is owned by or licensed to Insperte and is protected by applicable intellectual-property laws.

You may not copy, reproduce, modify, distribute, sell, publish, or create derivative works from our website or proprietary materials without prior written permission.

Nothing in these Terms transfers ownership of Insperte intellectual property to you.

10. User-Submitted Information

By submitting information through the website, you grant Insperte the limited rights necessary to process, store, evaluate, communicate, and use that information to provide the requested services, subject to our Privacy Policy and any applicable agreement.

You retain ownership of information you lawfully own.

You represent that you have the necessary rights and permissions to submit information to Insperte.

11. Privacy

Your use of the website and services is also subject to our Privacy Policy.

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information.

Please review the Privacy Policy before using our services.

12. Prohibited Activities

You may not use the website or services to:

  • Violate any applicable law or regulation;
  • Commit fraud or facilitate fraudulent activity;

  • Introduce malware, malicious code, or harmful software;
  • Attempt to interfere with website operations;

We attempt to keep the website and services available and functional, but we do not guarantee uninterrupted, error-free, or continuous availability.

We may modify, suspend, or discontinue any part of the website or services at any time.

15. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the website and services are provided on an “as is” and “as available” basis.

Insperte does not warrant that:

  • The website will always be available;
  • Information provided through the website will always be complete or error-free;
  • A particular expert or participant will be available;
  • A research engagement will produce a particular result; or
  • Information provided by an expert or other user is accurate or suitable for a particular purpose.

You are responsible for independently evaluating information obtained through an engagement.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Insperte and its officers, directors, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of the website or services.

To the maximum extent permitted by applicable law, Insperte's aggregate liability arising from or relating to the website or services will be limited to the amount paid by you to Insperte for the specific service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

17. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Insperte and its officers, directors, employees, affiliates, contractors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from or related to:

  • Your violation of these Terms;
  • Your misuse of the website or services;
  • Your violation of applicable law;
  • Your violation of another person's rights; or
  • Information or content you submit to Insperte.

18. Termination

We may suspend or terminate your access to the website or services if:

  • You violate these Terms;
  • You provide materially false or misleading information;
  • Your conduct creates legal, security, or compliance concerns;
  • Your participation may create a risk to Insperte, its clients, experts, or other users; or
  • We discontinue the applicable service.

You may stop using the website or request termination of your account at any time, subject to any continuing obligations applicable to an existing engagement.

Sections concerning confidentiality, intellectual property, payments, limitations of liability, indemnification, governing law, and other provisions that by their nature should survive termination will remain effective.

19. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we may update the Effective Date and provide additional notice where appropriate.

Your continued use of the website after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

20. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles.

To the extent permitted by applicable law, disputes arising from or relating to these Terms or the services will be subject to the jurisdiction of the applicable state or federal courts located in Wyoming.

Nothing in this section prevents a party from seeking emergency or equitable relief in another court where legally permitted or required.

21. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

22. Entire Agreement

These Terms, together with any applicable project-specific agreement, Privacy Policy, Cookies Policy, and other agreements expressly incorporated by reference, constitute the agreement between you and Insperte regarding your use of the applicable website and services.

If there is a conflict between these Terms and a separately executed written agreement, the separately executed agreement will control to the extent of the conflict.
