Welcome to Insperte. These Terms & Conditions (“Terms”) govern your access to and use of Insperte’s platform, services, and website. By accessing or using the Platform, you agree to be bound by these Terms.
1. Definitions
For the purposes of these Terms, the following definitions apply: “Insperte” refers to Insperte, its affiliates, subsidiaries, and representatives providing expert network and research facilitation services; “Platform” refers to Insperte’s website, applications, and related systems; “Services” refers to all services provided by Insperte, including expert consultations, surveys, interviews, and research engagements; “Expert” refers to any individual who participates in consultations, interviews, surveys, or other research engagements facilitated by Insperte; “Client” refers to any individual or organization that engages Insperte to access expert insights or research services; “User” refers to any individual or entity accessing or using the Platform, including Experts and Clients; “Engagement” refers to any interaction between a Client and an Expert, including calls, meetings, or surveys; “Confidential Information” refers to any non-public or proprietary information disclosed during an Engagement; “Material Non-Public Information (MNPI)” refers to information that is not publicly available and could influence decisions if disclosed; “Content” refers to all materials, communications, and data shared through the Platform or during an Engagement; “Account” refers to a registered user profile on the Platform; “Applicable Laws” refers to all relevant laws and regulations applicable to Users and Insperte; “Third Party” refers to any entity other than Insperte, the User, or the Client; “Payment Provider” refers to third-party services used to process payments.
2. Eligibility
By using the Platform, you confirm that you are at least 18 years old, you have the legal authority to enter into these Terms, and your participation does not violate any contractual, employment, or legal obligations.
3. Nature of Services
Insperte facilitates connections between Clients and Experts for research and informational purposes only. Insperte does not provide legal, financial, or investment advice, and Experts act independently and not as representatives of Insperte.
4. Expert Obligations
Experts agree to provide accurate, truthful, and complete information, rely solely on their professional knowledge during Engagements, not use external tools, AI, or third-party assistance unless explicitly permitted, and comply with Applicable Laws, employer policies, and contractual obligations.
5. Confidentiality
All Users agree to maintain strict confidentiality of all Confidential Information, not disclose or misuse any information obtained during Engagements, and use information solely for the intended purpose of the Engagement.
6. Prohibited Conduct
Users must not disclose MNPI or confidential business information, share trade secrets or proprietary data, misrepresent identity, qualifications, or experience, record sessions without prior consent, or engage in fraudulent, unethical, or illegal conduct.
7. Compliance & Legal Responsibilities
Users are solely responsible for ensuring compliance with employment agreements, non-disclosure agreements, regulatory requirements, and Applicable Laws. Insperte reserves the right to restrict or terminate participation based on compliance concerns.
8. Payments & Compensation
Compensation terms will be communicated prior to Engagement. Payments are processed after successful completion of services. Payments may be withheld in cases of compliance violations, misrepresentation, or incomplete or invalid participation.
9. Independent Contractor Status
Experts act as independent contractors, and nothing in these Terms creates an employment relationship, partnership, or joint venture.
10. Intellectual Property
All Content and materials provided through the Platform remain the property of Insperte or its Clients. Unauthorized use, reproduction, or distribution is strictly prohibited.
11. Data Protection & Privacy
Insperte collects and processes personal data in accordance with applicable data protection laws. By using the Platform, you consent to such processing as outlined in the Privacy Policy.
12. Account Suspension & Termination
Insperte reserves the right to suspend or terminate Accounts, deny access to Services, or remove Users for violations of these Terms or Applicable Laws.
13. Limitation of Liability
To the fullest extent permitted by law, Insperte shall not be liable for indirect, incidental, or consequential damages, does not guarantee selection for any Engagement, and use of the Platform is at your own risk.
14. Indemnification
You agree to indemnify and hold harmless Insperte from any claims, damages, or liabilities arising from your participation in Services, breach of these Terms, or violation of Applicable Laws or third-party rights.
15. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], and any disputes shall be subject to the exclusive jurisdiction of the courts located in [Insert City].
16. Amendments
Insperte reserves the right to modify these Terms at any time, and updated versions will be posted on the Platform with a revised effective date.
